MASTER SERVICES AGREEMENT

Skyline Demographic Consultants, Inc. (d/b/a Skyline Consulting) and Horizon Messaging Corp.

This Master Services Agreement ("Agreement") is entered into between the undersigned client ("Client") and Skyline Demographic Consultants, Inc., d/b/a Skyline Consulting, and Horizon Messaging Corp. (together, "Skyline/Horizon," "we," "us," or "our"). Skyline Demographic Consultants, Inc. and Horizon Messaging Corp. are separate legal entities that may each perform and invoice work under this Agreement; both are bound by, and Client's obligations under this Agreement run to, either entity individually or both together.

1. NO REGULATORY OR LEGAL ADVICE
Skyline/Horizon does not provide legal, regulatory, or compliance advice. Skyline/Horizon is not the party regulated by the laws and rules referenced below, and does not monitor or verify Client's compliance with them. By submitting any task request under this Agreement, Client represents that Client is solely responsible for knowing and complying with all applicable federal, state, and local laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), and applicable FCC and FTC rules governing calls, texts, and recorded messages, and for maintaining any "registered office," "registered agent," or similar designation required by state law for Client's political communications or polling activity. Client is solely responsible for the content of all voice broadcasts, text messages, and surveys submitted to Skyline/Horizon for delivery.

2. EVERGREEN AUTHORIZATION FOR TASK REQUESTS
Client's signature below constitutes a single, one-time authorization covering all present and future task requests submitted by Client to Skyline/Horizon by email (or another method Skyline/Horizon designates in writing), across the current election cycle and any future election cycles, without the need for a separate signed agreement for each request. Each task request, together with Skyline/Horizon's confirmation of that request, constitutes the specific work order governed by this Agreement.

This authorization remains in effect until terminated. Either party may terminate this Agreement at any time by written notice to the other (email is sufficient), effective immediately upon sending. Termination ends Skyline/Horizon's authorization to act on future task requests from Client; it does not affect, waive, or discharge either party's rights or obligations, including payment obligations, arising from task requests submitted or work performed before termination.

3. NON-EXCLUSIVITY
This Agreement is non-exclusive. It does not obligate Client to submit any particular volume or type of work to Skyline/Horizon, and it does not prevent Skyline/Horizon from entering into separate agreements with Client on different terms (for example, a retainer or monthly availability arrangement for data work). A separate agreement, where one exists, governs the work it describes; this Agreement governs everything else submitted as a task request under it.

4. RATES; DYNAMIC PRICE LIST
Work performed under this Agreement is billed at the rates in Skyline/Horizon's price list posted at skylinepolitical.com as of the date the applicable task request is submitted. Submitting a task request constitutes Client's acceptance of the rates then in effect. Skyline/Horizon may update the posted price list at any time; updated rates apply to task requests submitted after the update, not to work already ordered.

5. SCOPE OF WORK; UNANTICIPATED PROJECTS
This Agreement covers task-based work billed according to the posted price list, including one-time projects not otherwise described on the price list, which are billed at Skyline/Horizon's standard hourly rate of $150/hour with a $75 minimum charge. More complex, ongoing, or recurring engagements (for example, a monthly retainer) are outside the scope of this Agreement and require a separate written agreement between the parties.

6. PAYMENT
Unless other arrangements are agreed in writing, estimated payment is due in advance of a voice broadcast or text campaign. The actual amount owed is due within 3 days of Client's receipt of Skyline/Horizon's invoice. Skyline/Horizon will refund any overpayment within 7 days. Payment by credit card is available on request via a PayPal invoice (no PayPal account required); a 4% convenience fee applies to credit card payments.

Invoices not paid within 3 days of the invoice date are, at Skyline/Horizon's option, subject to a late charge of up to 1.5% per month on the unpaid balance. Skyline/Horizon may, at its option, require prepayment for any future task request from a Client with a past-due invoice.

7. AFFILIATE BILLING
Task requests submitted under this Agreement may be performed and invoiced by either Skyline Demographic Consultants, Inc. or Horizon Messaging Corp., depending on which entity performs the work. An invoice from either entity is an invoice under this Agreement.

Skyline Consulting / Horizon Messaging -- Pricing

SMS & MMS MESSAGING
Rates depend on total expected texting volume during the contract period.
Tier A (5,000-100,000 texts): SMS 8 cents | Additional segment 3.0 cents | MMS with image 10 cents
Tier B (100,000-500,000 texts): SMS 7 cents | Additional segment 3.0 cents | MMS with image 9 cents
Tier C (500,000-3,000,000 texts): SMS 6 cents | Additional segment 2.5 cents | MMS with image 8.5 cents
Tier D (3,000,000+ texts): SMS 5.5 cents | Additional segment 2.5 cents | MMS with image 7.5 cents
MMS (video) adds 2 cents per MMS message. Inbound texts: always free.

VOICE BROADCASTING & LANDLINE SURVEY SERVICES
$50 minimum per broadcast.
Voice Broadcasting: 3.75 cents per connected call (if we provide your Caller ID); 3.25 cents per connected call (if you provide your own). You must use a valid Caller ID Number. Assumes average recording length is under 44 seconds.
Automated Surveys: $300 setup/reporting fee, plus 4.0 cents per minute of connected time, billed in 6-second increments. Survey results can be appended to respondents voter records where possible.
Voice Recording Service: $25 per script.
Incoming Voicemail: 2 cents per minute for voicemail received at the Caller ID number on large broadcasts.
Ringless Voicemail: no longer offered.

TEXTING SURVEY SERVICES
$300 setup/reporting fee plus cost of sending texts.
15,000 texts = $2,100 | 20,000 texts = $2,700 | 30,000 texts = $3,900
A benchmark survey plus a followup/tracking survey is recommended. Typical response rates run 1-2%, with higher rates closer to Election Day.

REGISTRATION & RECURRING FEES
One-time (once per election cycle): T-Mobile Registration $50; Campaign Registry $4; Campaign Verify $95.
Monthly (3-month minimum): Campaign Registry $10/month; Caller ID Number $1/month.
Caller ID Number required for all voice broadcasts. May also incur a 2 cents/minute charge for voicemail received at the Caller ID number on large broadcasts. Caller ID numbers may be shared with other clients; ask if you want an exclusive/dedicated number. Any phone numbers already on file with us are free to use; updating them carries an additional charge.

OPTIONAL SERVICES
Smart Link: $200 + cost of domain name.
Pre-Scrub Non-Textable Numbers: 1 cent per number.
Custom Opt-Out Handling: 2.0 cents per opt-out.
For landline Broadcasts, Unless you request otherwise, all phone numbers are checked against a cell-phone number database at the time of dialing and matching numbers are removed.

TECHNICAL & DATA WORK
Simple Voterfile/Election Results queries and reports: included at no charge.
Voterfile and Proven Donor data files: $7 per 1,000 individuals; add $15 per 1,000 for landlines, add $25 per 1,000 for unique mobile numbers.
GIS Mapping: project-dependent.
Complex Data Work: $150/hour, $75 minimum. (Also the standard rate for one-off unanticipated projects under the Master Services Agreement.)
Programming/Video Conversion: $75 per half-hour.

PAYMENT TERMS
Unless other arrangements are made in writing, estimated payment is due in advance of a broadcast. The actual amount owed is due within 3 days of receiving our invoice. Overpayments are refunded within 7 days. Credit card payment is available via PayPal invoice (no PayPal account required); a 4% convenience fee applies.
